Disputes / Venue / Interpretation—
User agrees to promptly notify ServiceDemand of any dispute or issue, and agrees to give ServiceDemand a reasonable period of time in which to reasonably resolve the dispute. User further agrees that before any lawsuit is filed against ServiceDemand, user shall (at ServiceDemand’s sole discretion) participate in alternative dispute resolution, including but not limited to mediation. User agrees that such alternative dispute resolution is to occur in Dallas County, State of Texas.
In the event that user chooses to file a complaint, petition or lawsuit against ServiceDemand, or its parent, owner, member, shareholder, affiliates, subsidiaries, agents, employees or other, user agrees that such complaint, petition or lawsuit must be filed within a Texas District Court located within Dallas County, State of Texas, as the exclusive jurisdiction. User further agrees that any complaints filed within any other jurisdiction shall be immediately transferred and transferrable to a court as described above, and user agrees to reimburse ServiceDemand and its owners, shareholders, agents, officers, employees, member, and managers for any costs they may each incur in defending against the complaint and/or transferring it as described above.
User agrees that this Site Use and User Agreement will be interpreted in accordance with the laws of the State of Texas, regardless of the choice of law provisions of other states.
If any provision of this agreement is found to be unenforceable, the remainder of the agreement remains in effect, without change.
